About the role

You will be appointed as the resident director (and, for branches, the local agent) of a portfolio of foreign-owned Australian companies, satisfying the requirement under Section 201A of the Corporations Act 2001 that a proprietary company have at least one director ordinarily resident in Australia. These are real appointments with real duties. You will sit behind the ASIC record, understand each client's business well enough to discharge your statutory obligations, and work closely with our compliance and tax teams so that nothing is signed without the right context. This is a position of genuine responsibility, supported by professional indemnity cover, clear engagement terms, and a firm that takes governance seriously.

What you will do

  • Accept appointment as resident director or local agent on a portfolio of foreign-owned Australian entities
  • Discharge directors' duties under Sections 180 to 184 of the Corporations Act, including the duties of care and diligence, good faith, and proper use of position and information
  • Review and authorise ASIC lodgements, resolutions, and material company decisions before signing
  • Maintain a clear understanding of each client's activities, solvency, and obligations so that director liability is properly managed
  • Work with our ASIC and tax teams to ensure annual reviews, statutory registers, and notifications stay current
  • Engage with overseas beneficial owners to understand instructions and flag where a proposed action conflicts with Australian law or your duties
  • Help shape the firm's risk framework, onboarding due diligence, and director engagement terms
  • Keep accurate records of decisions, approvals, and the basis on which they were made

What you will need

  • A CA, CPA, or GAICD qualification, or equivalent governance credentials, with the standing to act as a company director
  • A strong working knowledge of the Corporations Act 2001, particularly directors' duties, solvency, and ASIC obligations
  • Experience as a director, company secretary, or senior governance professional, ideally with foreign-owned entities
  • Sound judgement and the confidence to decline or question instructions that create unacceptable risk
  • A genuine and ordinary residence in Australia, with the right to take on director appointments here
  • Strong attention to detail and disciplined record keeping
  • The ability to communicate clearly with overseas clients across time zones and cultures
  • Personal integrity and a clear understanding that your name and reputation sit on the public record

ASIC Compliance & Company Secretary Specialist (North Sydney)

Run ASIC lodgements, statutory registers, and company secretarial duties across a portfolio of foreign-owned Australian entities.

About the role

This role is the backbone of our compliance promise to clients. You will manage the full ASIC lifecycle for proprietary companies, public companies, and foreign companies registered under Part 5B.2 of the Corporations Act. That means lodging the right forms on time, keeping statutory registers accurate, tracking deadlines across a large portfolio, and making sure no client ever misses an annual review or pays an avoidable late fee. You will work alongside our professional directors, registered agent function, and tax team, and you will be the person clients trust to keep their Australian entity clean on the public record.

What you will do

  • Prepare and lodge ASIC documents through registered agent channels, including annual review statements, Form 484 changes, Form 361 agent notifications, and foreign company lodgements
  • Maintain statutory registers, including registers of members, directors, secretaries, and beneficial ownership
  • Build and run compliance calendars so every annual review, solvency resolution, and change notification is met within the prescribed timeframe
  • Prepare directors' and members' resolutions, minutes, and company secretarial documentation
  • Monitor changes in client circumstances and lodge notifications within statutory deadlines to avoid late lodgement fees and penalties
  • Manage company incorporations, deregistrations, and changes to company details
  • Liaise with ASIC, clients, and overseas advisers to resolve queries and discrepancies on the register
  • Keep clean, auditable records and help improve our compliance workflows and templates

What you will need

  • A Governance Institute of Australia qualification (Certificate or Graduate Diploma), or solid corporate governance experience in lieu
  • Hands-on experience with ASIC lodgements and registered agent portals, ideally CAS or equivalent
  • A working knowledge of the Corporations Act 2001, including foreign company obligations under Part 5B.2
  • Strong company secretarial skills, including drafting resolutions, minutes, and maintaining statutory registers
  • Exceptional attention to detail and a deadline-driven approach to a large portfolio
  • Comfort working with overseas clients across time zones
  • Discretion in handling confidential ownership and director information
  • A proactive, organised manner and the judgement to flag risks early

Corporate Services Manager (North Sydney)

Own client onboarding and coordinate end-to-end setup of foreign companies entering the Australian market.

Apply now →

About the role

This is a client-facing coordination role at the centre of the firm. You will guide foreign clients through company and branch registration, ABN and GST, resident director and local agent appointments, registered office, and the handover into ongoing compliance. You are the person who keeps a setup moving, sequencing ASIC, ATO, banking, and our internal directors and tax teams so the client experiences one smooth process rather than a dozen moving parts. You will balance warmth with rigour, because much of our work involves due diligence and getting details exactly right.

What you will do

  • Own client onboarding from initial quote through to completed registration and handover to ongoing compliance
  • Scope each engagement, prepare proposals, and coordinate engagement letters and identity and due diligence checks
  • Coordinate company and branch registration, ABN and GST, director appointments, and registered office setup across internal teams
  • Act as the single point of contact for foreign clients, managing expectations across time zones and cultures
  • Track each matter against milestones and chase the dependencies that hold setups up, from ASIC to banking
  • Keep the CRM and matter records accurate, and surface upsell or cross-service opportunities to the right team
  • Liaise with overseas accountants, lawyers, and the firm's partner network on referred clients
  • Help refine onboarding processes, templates, and the client experience as the firm grows

What you will need

  • A degree in business, law, accounting, or equivalent practical experience in professional or corporate services
  • Proven client and project coordination experience, ideally in accounting, legal, or corporate services
  • A working understanding of Australian business setup: ASIC registration, ABN and GST, and basic compliance obligations
  • Excellent written and spoken communication, with the polish to deal with senior international clients
  • Strong organisation and the ability to run many matters at once without dropping detail
  • A calm, solutions-focused manner under deadline pressure
  • Comfort with CRM and workflow tools and a willingness to improve process
  • Cultural awareness and patience working across time zones

Cross-Border Tax Accountant (North Sydney)

Handle Australian tax, GST, the R&D tax incentive, and accounting for foreign-owned companies operating in Australia.

Apply now →

About the role

You will manage a portfolio of foreign-owned Australian entities across the full tax and accounting cycle, from bookkeeping and BAS through to company tax returns and advisory. The work spans GST for foreign sellers, the R&D tax incentive, withholding, transfer pricing awareness, and the practical questions overseas owners ask about repatriating profit and structuring their Australian presence. You will work closely with our compliance team and professional directors, and report to James Carey (CA, CTA, JP). The clients are international, the technical work is genuinely varied, and accuracy matters.

What you will do

  • Prepare and review company income tax returns, BAS, and IAS for foreign-owned Australian entities
  • Manage GST registration and reporting, including issues specific to foreign sellers into Australia
  • Prepare and lodge R&D tax incentive claims and supporting documentation
  • Run bookkeeping and management reporting, and oversee outsourced finance work where engaged
  • Advise on PAYG, withholding tax, and the Australian tax consequences of cross-border arrangements
  • Support clients on profit repatriation, double tax agreements, and the tax side of structuring decisions
  • Liaise with the ATO and with overseas accountants and the parent company's finance team
  • Keep current with Australian tax changes and translate them into clear client guidance

What you will need

  • CA or CPA qualification (or in the final stages), with Australian tax experience
  • Solid grounding in Australian company tax, GST, and BAS preparation
  • Exposure to cross-border or foreign-owned clients, or a strong appetite to specialise in it
  • Familiarity with the R&D tax incentive and the documentation it requires (highly regarded)
  • Confident use of Xero, MYOB, or comparable accounting and tax software
  • Clear written communication for clients who are new to the Australian system
  • Strong attention to detail and reliable deadline management across a portfolio
  • Comfort working with overseas clients and advisers across time zones

Why work here

What makes AusBusinessRegister.com.au a good firm to work for.

We are a Sydney corporate-services firm doing genuinely cross-border work for international clients, with hybrid working and a CA, CTA and JP-led team. Here is what that means in practice.

Hybrid and flexible working

Hybrid and flexible arrangements built around how good work actually gets done, with trust as the starting point. Our office is in North Sydney, and we combine in-person collaboration with the flexibility to work remotely.

Professional development and study support

We back people working towards qualifications such as Chartered Accountant (CA) or CPA with study support and direct mentoring from qualified accountants, alongside ongoing professional development.

Exposure to international clients

You work directly with foreign companies establishing and operating in Australia, across more than 30 countries. The work is genuinely cross-border, not domestic compliance kept at arm’s length.

A CA, CTA and JP-led team

You work alongside a team led by James Carey, a Chartered Accountant (CA), Chartered Tax Adviser (CTA) and Justice of the Peace (JP) with more than 15 years of experience, learning on real client matters.

Real corporate and compliance work

Professional and resident directorships, ASIC and corporate compliance, company secretarial and corporate services, and cross-border accounting. Broad, practical exposure rather than a narrow slice.

Backed by a larger practice

We are based in North Sydney and operate as part of the Prime Partners group, which gives our team the depth and backing of a larger advisory practice while keeping the work close and personal.

Life at AusBusinessRegister.com.au

We are the team foreign companies rely on to land in Australia and stay on the right side of the rules.

Most of what we do is precise and necessary, and we do it properly: ASIC lodgements, corporate compliance, company secretarial work, the cross-border detail that has to be exactly right. But the work we care about most is being genuinely useful to a company that is new to Australia and counting on us to get it right.

Our office is in North Sydney, our clients are all over the world. That mix is what makes the work interesting, and it is why the people who do well here are the ones who like getting the detail right and like the people they do it for.

The team you learn alongside

What we’re building

The firm foreign companies choose when they want Australia handled properly.

We want to be the first call for any international business setting up in Australia: company registration, professional and resident directorships, ASIC and corporate compliance, company secretarial, corporate services, and cross-border accounting, all under one roof and all done properly.

Getting there means building a team that genuinely understands both the Australian rules and the realities of running a foreign-owned business here. We are part of the Prime Partners group, so the depth is there, and we are building the corporate-services side deliberately, with people who care about getting the detail right rather than rushing it.

You are part of that. Every registration lodged cleanly, every compliance deadline met, every client who feels genuinely looked after, that is how we build the reputation we are after. It is meant to be ambitious, because the version of this firm we are building is worth building.

What we believe

The things we keep coming back to.

Not values from a workshop. The things that actually decide how we work, on client matters and in the moments that matter.

Get the detail exactly right

In compliance work, close enough is not good enough. We stay across the rules and the deadlines, and we would rather take the time to get it right than have a client carry the cost of a mistake.

See it from the client’s side of the world

Our clients are setting up somewhere unfamiliar, often in a different time zone and language. We explain things plainly and carry their context, so the Australian side feels handled rather than confusing.

Say the awkward thing early

The slightly uncomfortable conversation is usually the one that matters most. We would rather raise it while there is still room to act than let a problem grow quietly.

We do what we say we’ll do

Deadlines, lodgements, follow-ups, these things matter here. If something changes, we say so before it becomes someone else’s problem. Reliability is noticed in both directions.
